About the role

The purpose of the General Counsel and Company Secretary role is to fulfil the statutory and regulatory requirements of the Company Secretary and to lead coordination of Board corporate governance, risk, legal and regulatory obligations and policies and practices.

The role carries a responsibility to ensure that all relevant business is presented to the Board, preparing relevant papers, and giving strategic advice for the Board on legal, governance and risk.

Your duties include:

  • Ensuring that members' and directors' meetings are properly called and held
  • Monitoring compliance with board and committee policy and procedures
  • Preparing for and attending all annual and extraordinary general meetings of the company
  • Provide high level practice and strategic legal and policy advice, or consult with external legal counsel, to advise the Executive and Board on a wide range of complex and sensitive matters

Our ideal candidate:

  • A tertiary qualification in Law or Business
  • A current Australian certificate that entitles you to practice law in Victoria
  • Relevant experience in commercial law, intellectual property law, privacy, governance, and risk gained either in-house or in private practice
  • Member of the Governance Institute of Australia (previously the Chartered Secretaries of Australia Ltd)

All appointments are made subject to a satisfactory Police Check, a Working With Children Check (WWCC), complete a Statutory Declaration, evidence of legal rights to work in Australia, and evidence of vaccination against COVID-19 (3 doses). Additionally, some roles will also require current AHPRA registration and/or NDIS Worker Screening Clearance.

Roles that are determined to be Risk Category A or B [staff that have direct and/or indirect contact with body substances and are at higher risk of occupational exposure to infections] will be required to provide evidence of immunisation assessment including Influenza prior to commencement [A] or within 12 weeks of commencement [B]. This is in accordance with the Victorian Minister of Health Mandatory Vaccination Orders for COVID-19 and legislated requirement for influenza vaccination.
